Good question!  I don't know.  I looked in my W2K Task Manager under both apps and processes, to find out what's going on, but I can't tell.  Task Manager is showing that it's running inside Explorer, and only when it blocks a popup.  If it isn't blocking something, it disappears from the running apps list.  PopupPopper is nothing but a DLL file, so...
If you are asking if it slows the machine down, the answer is no.  One of the popup killers I tried on my friend's machine was UNBELIEVABLY SLOW.  I mean, I would click on a link, go get a cup of coffee, come back and the page still wasn't loaded - and I'm NOT exaggerating.
